End User License Agreement (EULA)

We are Sherlock Tech Ltd ("Company," "we," "us," "our"), a company registered at 10 Abba Eban Boulevard, 4672528 Herzliya, Israel.

This End User License Agreement (“Agreement” or “Terms”) governs your access to and use of the ZipSphere software and any related components, updates, features, or services (collectively, the “Software”).

By downloading, installing, or using the Software, you (“User” or “you”) agree to be bound by these Terms. If you do not agree, you must not install or use the Software.

1. Ownership

The Software is owned by or licensed to the Company and is protected by applicable intellectual property laws. All rights not expressly granted under these Terms are reserved by the Company. Your use of the Software does not grant you any ownership interest in the Software or any associated intellectual property rights.

2. License Grant

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for personal, lawful, and non-commercial purposes. This license does not permit redistribution, resale, sublicensing, or commercial exploitation of the Software.

3. Installation and Functionality

By installing ZipSphere, you authorize the Software to be installed on your device and to operate as intended. ZipSphere functions as a file management and utility tool. It does not modify browser search settings, does not alter your homepage, and does not implement search monetization mechanisms. The Software may access certain system-level permissions necessary for its functionality, including file access required for compression, extraction, or management operations.

4. User Responsibilities

You agree that you will not:

  • Copy, distribute, or commercially exploit the Software
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Circumvent or interfere with security features
  • Use the Software for unlawful, fraudulent, or harmful purposes
  • Violate applicable laws or regulations in connection with use of the Software

Violation of these Terms may result in immediate termination of your license.

5. Updates and Modifications

The Company may release updates, patches, or improvements to enhance performance, security, or compatibility. By continuing to use the Software after updates are made available, you agree to accept such updates. The Company is not responsible for temporary interruptions resulting from maintenance or upgrades.

6. Third-Party Components

The Software may include third-party libraries or open-source components necessary for technical operation. Such components are governed by their respective licenses. The Company does not control external third-party services that may be accessed independently by the user.

7. Disclaimer of Warranties

The Software is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not guarantee uninterrupted operation, error-free functionality, or compatibility with all systems or configurations.

8. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Software. In any event, the Company’s total liability shall not exceed USD $10 or the amount paid (if any) for the Software, whichever is lower.

9. Termination

This Agreement remains effective until terminated. You may terminate this Agreement at any time by uninstalling the Software and ceasing all use. The Company may terminate or suspend your license if you violate these Terms or if your continued use poses legal or security risks. Upon termination, all rights granted under this Agreement will immediately cease.

10. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses arising from your misuse of the Software or violation of these Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. Any claim must be brought within twelve (12) months from the date the cause of action arises.

12. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. Failure by the Company to enforce any provision shall not constitute a waiver of its rights. You may not assign your rights or obligations under this Agreement without prior written consent from the Company.

13. Force Majeure

The Company shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including natural disasters, governmental actions, or power interruptions.
